Terms Of Service

These Terms and Conditions (“Terms”) form a legally binding agreement between you (“User,” “you,” “your”) and OrbitUSDC (“Orbit,” “we,” “our,” “us”). By accessing or using our websites, applications, APIs, smart contract interfaces, or any other OrbitUSDC service (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not use OrbitUSDC.


Section 1 — About OrbitUSDC

OrbitUSDC is a blockchain-integrated software company that provides tools for:

  • Receiving USDC
  • Spending USDC with participating merchants
  • Generating invoices and payment links
  • Business dashboards
  • Merchant checkout tools
  • Smart contract-based workflows
  • Wallet integration via third-party infrastructure providers
  • Optional fiat settlement for merchants via licensed partners

OrbitUSDC is not:

  • a bank
  • an exchange
  • a custodian
  • a payment processor
  • a money transmitter
  • a PSSP, VASP, or IMTO
  • a financial institution under any jurisdiction

Orbit is a software interface, not a financial service provider.

Third parties perform all custody and settlement functions.


Section 2 — Definitions

“Digital Assets”

On-chain assets such as USDC.

“Orbit Wallet”

A user-facing interface connected to a third-party wallet infrastructure provider. Orbit does not custody, control, or access private keys.

“Platform Fee / Service Fee / Orbit Network Fee”

A fee charged by OrbitUSDC for the use of Orbit's software tools.These are not financial transaction fees.

“Settlement Provider / Off-Ramp Partner”

A licensed financial services entity (HC) responsible for fiat conversion and fiat settlement. OrbitUSDC does not perform this activity.

“Consumer User”

An individual accessing on-chain Orbit tools without fiat access.

“Merchant” / “Business User”

A business approved through KYB and eligible for fiat settlement through licensed partners.


Section 3 — Eligibility

Consumers

  • Must be 18+
  • No KYC required
  • Must be legally allowed to use blockchain services

Merchants

  • Must complete KYB
  • Must be a legally registered business
  • Must be compliant with AML/CTF regulations
  • Must agree to the settlement partner terms

Users in sanctioned jurisdictions are prohibited.


Section 4 — Account Registration

You agree to:

  • Provide accurate registration information
  • Maintain password security
  • Do not share your account
  • Notify Orbit of any security breach

Orbit may suspend accounts for violations or suspicious activity.


Section 5 — Wallet Infrastructure (Coinbase WaaS)

OrbitUSDC does not:

  • Hold custody or store private keys
  • Control funds or authorize transactions
  • Reverse on-chain actions

Wallets, private key management, and transaction execution are handled by Coinbase WaaS or another third-party provider.

Orbit is not responsible for:

  • Delays, outages, or lost access
  • Blockchain congestion or network failures
  • Smart contract exploits not created by Orbit

Blockchain transactions are irreversible.


Section 6 — Third-Party Providers

Orbit integrates with third-party services, including:

  • Coinbase WaaS (wallet custody infrastructure)
  • Licensed partner (fiat settlement)
  • Other compliance/identity providers (for KYB only)
  • Blockchain networks (Base)

These providers are independent entities. Orbit is not responsible for their performance, actions, delays, decisions, or failures.


Section 7 — General Prohibited Uses

You may NOT use Orbit to:

  • Commit fraud, launder money, or finance terrorism
  • Evade sanctions or conduct unlicensed financial services
  • Engage in scams, phishing, and hacks
  • Interfere with blockchain networks or exploit vulnerabilities
  • Impersonate others

Orbit may suspend or terminate accounts at its discretion.


Section 8 — Fees

Orbit charges Platform Fees for:

  • Smart contract interactions and invoicing
  • Payment links, merchant checkout, and API access
  • Other software functions

Orbit DOES NOT:

  • Charge off-ramp or FX fees
  • Convert crypto to fiat or touch/hold fiat

Licensed settlement partners set and charge their own settlement fees. Fees apply to the use of Orbit’s software, not to financial transactions.


Section 9 — Risk Disclosure

Using OrbitUSDC involves risks, including blockchain volatility, network congestion, wallet access issues, smart contract risks, partner outages, regulatory changes, and irreversible transactions. Orbit provides NO financial advice.


Section 10 — Consumer Terms (No KYC, On-Chain Only)

10.1 Scope

Consumers may receive/send USDC, spend USDC with businesses, and use Orbit’s on-chain tools. Consumers may NOT access fiat, request bank withdrawals, or interact with regulated financial services.

10.2 No KYC Required

Consumers do not undergo KYC but must self-certify compliance with local laws.

10.3 No Fiat Settlement

Consumers have zero access to fiat conversion through the platform.


Section 11 — Merchant Terms (KYB + Fiat via Partners)

11.1 KYB Requirement

Businesses must complete KYB through third-party providers to accept USDC as a business or request fiat settlement. Orbit does not store KYB data.

11.2 Fiat Settlement (Licensed partner)

Merchants may request fiat settlement through licensed partners. OrbitUSDC does not touch fiat, set FX rates, or guarantee settlement approval. All fiat operations are governed by Licensed partner's terms.

11.3 Merchant Responsibilities

  • Comply with AML/CTF regulations and maintain tax compliance
  • Provide accurate KYB info and ensure lawful business operations

Section 12 — Intellectual Property

OrbitUSDC owns all trademarks, brand identity, interface designs, APIs, and smart contract code created by Orbit. Users may not copy, reverse engineer, or modify materials.


Section 13 — Assumption of Risk

You accept that digital assets may lose value and technical failures/outages can occur. Orbit is not responsible for financial losses caused by user error or blockchain issues.


Section 14 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBITUSDC SHALL HAVE NO LIABILITY FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID TO ORBITUSDC IN THE PRECEDING 12 MONTHS.


Section 15 — Termination

Orbit may restrict or terminate access for violations, suspicious behavior, or legal reasons.


Section 16 — Governing Law

Governed by the laws of the Federal Republic of Nigeria. Disputes resolved via binding arbitration in Lagos. No class actions.


Section 17 — Modifications

Orbit may modify these Terms at any time; continued use constitutes acceptance.


Section 18 — Entire Agreement

These Terms constitute the full agreement between you and OrbitUSDC.
